B2B & Wholesale Terms

These terms apply to purchases from Fides Craft Inc, doing business as WEST66 GOODS, for resale, commercial use, gifting programs, hospitality, events, or other business purposes (“B2B Orders”). A signed quotation, invoice, purchase order accepted by us, or separate written agreement may add to or replace parts of these terms.

Applying for a trade account

Trade access is subject to approval. We may request business identity, resale certificate or tax documentation, sales channels, references, and expected order volume. Approval may be suspended or withdrawn if information is inaccurate, payment is overdue, or these terms are breached.

Quotations, minimums, and acceptance

We support product customization. Minimum order quantities, case packs, customization requirements, pricing, lead times, and quotation validity are negotiated according to the buyer’s needs and stated in the applicable quote or price list. A purchase order is an offer and becomes binding only when accepted by us in writing or when fulfillment begins. Customer purchasing terms do not override these terms unless expressly accepted by an authorized representative of Fides Craft Inc.

Pricing, taxes, and payment

Wholesale pricing is confidential and may change prospectively. Prices exclude shipping, duties, insurance, and taxes unless stated otherwise. Approved tax-exempt buyers must provide valid documentation before invoicing. Payment terms appear on the invoice; otherwise payment is due before production or shipment. Late undisputed amounts may accrue the lesser of 1.5% per month or the maximum lawful rate, plus reasonable collection costs.

Lead times, delivery, and risk

Production and delivery dates are good-faith estimates unless expressly guaranteed in writing. Split shipments may be used. Shipping terms, carrier, freight charges, title, and risk of loss will be stated in the quote or invoice; if not stated, shipments are delivered duty unpaid and the buyer bears freight, import clearance, duties, and taxes. Buyer must inspect deliveries promptly.

Changes, cancellations, and returns

Unless a quotation or written agreement states otherwise, standard B2B goods follow the same 90-day return framework as retail orders: unused, unaltered goods in original condition may be returned with prior authorization, the buyer pays change-of-mind return shipping, and no restocking fee applies. Original standard shipping is refunded for an eligible return, but shipping is not refunded after a shipped order is canceled, refused, or returned because of a buyer address issue. Custom, branded, engraved, made-to-order, final-sale, or production-committed goods are noncancelable and nonreturnable except for verified defects or nonconformity.

Claims

Buyer must report shortage, shipping damage, incorrect goods, or manufacturing defects within 7 business days after delivery, with invoice details, photos, and reasonable evidence. We will review the claim within 2 business days. Do not destroy goods or packaging before instructions. For an approved claim, the buyer may request replacement, exchange, credit, or refund of the affected goods, and we will cover the associated shipping costs.

Resale and brand presentation

Buyer will represent WEST66 GOODS products accurately, comply with applicable product, advertising, consumer, and marketplace laws, and not alter or remove labels or safety information. Our names, logos, photography, and other brand assets may be used only with written permission and according to current brand guidelines. No authorization to sell on third-party marketplaces is implied.

Confidentiality and intellectual property

Nonpublic pricing, samples, product plans, and commercial information must be kept confidential and used only for the relationship. All product designs and WEST66 GOODS intellectual property remain ours or our licensors’. No ownership transfers to the buyer.

Warranty and liability

We warrant that goods will materially conform to agreed specifications at delivery. Except as expressly stated and to the maximum extent permitted by law, other warranties are disclaimed. Neither party is liable for indirect, special, punitive, or consequential damages. Our aggregate liability will not exceed amounts paid for the affected B2B Order, except for liability that cannot legally be limited.

Compliance

Each party will comply with applicable anti-bribery, sanctions, export control, privacy, and trade laws. Buyer is responsible for local resale, labeling, registration, and tax obligations unless agreed otherwise in writing.

Governing law

These terms are governed by Wyoming law, without regard to conflict-of-law principles. State and federal courts located in Wyoming have exclusive jurisdiction, unless a signed agreement specifies another dispute process.
